Agreement to Terms

By creating an account or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our services.

Account Security

• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized access to your account
• You are liable for all activities that occur under your account
• You must provide accurate and complete information when creating your account
• You must keep your account information current and up to date

Social Media Account Connections

• You must own or have proper authorization for all connected social media accounts
• You are responsible for maintaining valid access permissions
• You must comply with each platform's terms of service and community guidelines
• You acknowledge that platform changes may affect our service functionality

Meta Platforms (Facebook, Instagram, Threads)

• You agree to comply with Meta's Platform Terms and Developer Policies
• You acknowledge that Meta may review and audit our integration
• You understand that Meta may restrict or terminate access at any time
• You agree to Meta's data use and privacy requirements

LinkedIn

• You agree to LinkedIn's API Terms of Use and Marketing API Terms
• You acknowledge our status as a LinkedIn Partner
• You agree to LinkedIn's professional networking guidelines
• You understand restrictions on data usage and sharing

X (Twitter)

• You agree to X's Developer Agreement and Policy
• You acknowledge API rate limits and usage restrictions
• You agree to proper content attribution and display requirements
• You understand that X may modify or restrict API access

TikTok

• You agree to TikTok's Developer Terms of Service
• You acknowledge that our integration has undergone TikTok's review process
• You agree to TikTok's content guidelines and community standards
• You understand restrictions on content sharing and promotion

YouTube (Google)

• You agree to YouTube's API Services Terms of Service
• You acknowledge Google's privacy and data handling requirements
• You understand that our service meets YouTube's minimum functionality requirements
• You agree to comply with YouTube's content policies

Other Platforms

For Pinterest, Reddit, Snapchat, Quora, and other integrated platforms, you agree to comply with their respective terms of service, developer agreements, and community guidelines.

Permitted Uses

• Schedule and publish content to your authorized social media accounts
• Analyze performance and engagement metrics
• Manage multiple social media accounts efficiently
• Use AI-powered content generation tools responsibly
• Collaborate with team members on social media management

Prohibited Activities

• Violate any applicable laws, regulations, or third-party rights
• Post spam, misleading, or fraudulent content
• Engage in harassment, hate speech, or discriminatory behavior
• Attempt to circumvent platform restrictions or rate limits
• Use our services for unauthorized commercial purposes
• Reverse engineer, modify, or create derivative works of our platform
• Access accounts without proper authorization
• Interfere with or disrupt our services or infrastructure
• Use our services to violate intellectual property rights
• Engage in any activity that could harm our reputation or relationships with platform partners

Your Content

• You retain ownership of all content you create and publish
• You grant us a limited license to process and distribute your content as necessary to provide our services
• You represent that you have all necessary rights to your content
• You are responsible for ensuring your content complies with all applicable laws and platform policies

Our Intellectual Property

• We retain all rights to our platform, software, and proprietary technology
• You may not use our trademarks, logos, or branding without permission
• Our AI-generated suggestions and analytics remain our intellectual property
• You receive a limited, non-exclusive license to use our services

Service Availability

• We strive to maintain high service availability but cannot guarantee 100% uptime
• Scheduled maintenance will be communicated in advance when possible
• Third-party platform changes may affect our service functionality
• We are not responsible for outages or issues with connected social media platforms

Service Modifications

• We may modify, update, or discontinue features at any time
• Material changes will be communicated to users in advance
• We may need to modify services to comply with platform requirements
• Continued use after modifications constitutes acceptance of changes

Subscription Plans

• We offer a 14-day free trial for new users
• Subscription fees are billed monthly or annually in advance
• All fees are in USD and non-refundable except as required by law
• Price changes will be communicated at least 30 days in advance
• You may cancel your subscription at any time through your dashboard
• Cancelled subscriptions remain active until the end of the billing period

Payment Processing

• Payments are processed by secure third-party payment processors
• You must provide accurate billing information
• Failed payments may result in service suspension
• You are responsible for all applicable taxes

Service Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind. We disclaim all warranties, express or implied, including but not limited to:

• Merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Uninterrupted or error-free service
• Accuracy or reliability of content or data

Liability Limitations

To the maximum extent permitted by law, we shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages resulting from third-party platform changes or outages
• Content posted by users or third parties
• Any amount exceeding the fees paid by you in the 12 months preceding the claim

Termination by You

• You may terminate your account at any time through your account settings
• Termination does not entitle you to a refund of prepaid fees
• You remain responsible for all charges incurred before termination

Termination by Us

• We may suspend or terminate your account for violation of these Terms
• We may terminate accounts that remain inactive for extended periods
• We may terminate services due to legal or regulatory requirements
• We will provide reasonable notice when possible

Effect of Termination

• Your access to our services will cease immediately
• We may delete your account data after a reasonable period
• Provisions that should survive termination will remain in effect
• You may request a copy of your data before termination

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in Delaware for any disputes arising from these Terms.

Dispute Resolution Process

• We encourage informal resolution of disputes through direct communication
• Formal disputes may be subject to binding arbitration
• Class action lawsuits are waived to the extent permitted by law
• Some jurisdictions may not allow certain limitations

Changes to Terms

We may update these Terms from time to time. Material changes will be communicated through email or platform notifications. Continued use after changes constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and SocialSuites regarding the use of our services.
